Terms of Service.

Business Use Only

The Services are intended exclusively for commercial use by real estate professionals, including agents, brokerages, photographers, and related service providers.

You represent and warrant that:

• you are acting in the course of business;
• you have authority to bind the business or entity you represent; and
• you are not a consumer under applicable consumer protection laws.

We reserve the right to refuse or terminate Services if this representation is inaccurate.

Nature of Services

Property Reels provides custom, made-to-order digital marketing content, including real estate listing videos ("reels"), branded social media graphics, and related deliverables.

All Services are:

• custom and made-to-order;
• digital and non-resalable (except by approved Wholesale Partners under Section 10); and
• non-transferable to third parties.

Video length, format, and structure are determined at our discretion to ensure quality and performance. Unless otherwise agreed in writing, videos will not exceed approximately three (3) minutes.

Client Responsibilities & Submitted Materials

You are solely responsible for:

• the accuracy of all information provided, including listing details, pricing, and property features;
• ensuring compliance with all applicable real estate regulations, including MLS requirements;
• obtaining all necessary rights, licenses, and permissions for submitted materials.

Property Reels is not responsible for verifying listing accuracy, regulatory compliance, or the licensing/rights status of any submitted materials. If a client does not hold the necessary licensing rights to the photos, videos, or other materials they submit — including photos taken by a third-party photographer without a license permitting this use — Property Reels bears no liability for any resulting copyright infringement, dispute, or claim, and full responsibility rests with the client who submitted the materials.

Pricing, Orders & Billing

Current Pricing

Property Reels is offered as a single listing purchase or as a discounted Prepay & Save package. Pricing in effect as of the date of these Terms:

Current pricing, listing counts, and deliverables are published at propertyreels.ca/pricing and may be updated at any time. The pricing and deliverables in effect at the time of purchase govern that specific order. Any comparison, "regular", or struck-through pricing shown in marketing materials is indicative only and does not create an entitlement to any particular discount on future purchases.

Payment

All fees are payable in advance and are exclusive of applicable taxes, which will be added where required by law. Production begins after payment and receipt of all required materials. Prepay packages load all listing credits to your account immediately upon payment.

Promotional Pricing

Monthly Capacity Limits

Property Reels may limit the number of new listings accepted in any given month in order to maintain stated delivery timelines. Where a capacity limit is advertised, Property Reels reserves the right to close, pause, or modify availability at any time and without prior notice, including before any stated limit is reached.

Custom & Special Offer Packages

From time to time, Property Reels may offer customized or special packages to individual clients or groups of clients. These may differ from standard plans in pricing, number of credits, or deliverables included per credit. The following applies:

• Deliverables per credit are fixed at the time of purchase and do not set a precedent for future purchases or standard plan offerings.
• Custom pricing is non-transferable and cannot be applied to future orders, transferred to another client, or combined with other promotions unless explicitly stated in writing at the time of purchase.
• All other Terms apply — including delivery timelines, revision allowances, credit expiry, and the guarantee and refund terms in Section 5.
• Written confirmation governs. The specific deliverables, pricing, and terms of any custom package will be confirmed in writing (including via email or text message). In the event of conflict, the written confirmation governs only the specific terms it explicitly addresses; all other Terms remain in full force.

Failed Payments & Chargebacks

We may suspend or terminate Services for failed or overdue payments. Initiating a chargeback without first pursuing the remedies set out in Section 5 constitutes a material breach of these Terms. We reserve the right to recover all outstanding amounts, including reasonable collection costs and legal fees.

Pricing Changes

We reserve the right to modify pricing, fees, or plan structures at any time. Pricing changes will be communicated with reasonable notice and do not affect orders already paid for.

Satisfaction Guarantee & Refunds

How the Guarantee Works

1. Tell us in writing what is not right — pacing, music, clip selection, branding, or anything else — within 3 days of delivery.
2. We will re-edit the deliverables at no charge and redeliver them.
3. If the re-edited version still does not meet your expectations, notify us within 3 days of receiving it and we will refund the full amount paid for that listing.

Conditions & Exclusions

• The guarantee applies to the quality of the deliverables. It does not apply to a change of mind unrelated to the work, a change in listing status, a property failing to sell, or withdrawal from a transaction.
• The three (3) day window runs from the date deliverables are made available to you, not from the date of purchase.
• Refund requests submitted after the applicable window has closed will not be honoured. Deliverables are deemed accepted in accordance with Section 8.
• For Prepay packages, the guarantee applies on a per-listing basis. An unsatisfactory listing will be refunded at the effective per-listing price paid under that package, or the credit restored to your account, at your election. Unused credits remain subject to Section 6.
• Refunds are issued to the original payment method and exclude any applicable taxes already remitted, where recovery is not available to us.
• Repeated refund requests across multiple orders may, at our discretion, result in refusal of future Services.

To the extent any published guarantee on propertyreels.ca conflicts with this Section, the more favourable terms to the client will apply.

Listing Credits & Expiry

Each "listing credit" entitles the client to one property listing processed into the number of edited videos specified for the package purchased.

• Single Listing: 1 listing · 4 edited videos. No expiry.
• Starter (Prepay): 3 listings · 4 edited videos per listing. Credits expire 2 years from date of purchase.
• Producer (Prepay): 5 listings · 4 edited videos per listing. Credits expire 2 years from date of purchase.
• Authority (Prepay): 10 listings · 4 edited videos per listing. Credits expire 2 years from date of purchase.

Credits are non-transferable and may not be sold, gifted, or applied to a different account or plan tier without prior written consent from Property Reels. One credit applies to one property address; a change of property constitutes use of a separate credit.

Delivery Timelines & 24-Hour Guarantee

When the Clock Starts

Delivery timelines begin only when all required materials have been received in full — including listing photos, property details, branding assets, and any other requested information. Incomplete submissions do not start the delivery clock. Property Reels will make reasonable efforts to notify the client of missing materials but is not responsible for delays caused by incomplete, late, or unclear submissions.

Exclusions

• Client delays, incomplete submissions, revision requests, or scope changes pause or reset delivery timelines and do not trigger the guarantee.
• Time spent on revision rounds under Section 8 is separate from, and not counted within, the initial 24-hour delivery window.
• The guarantee does not apply where delivery is prevented by a force majeure event under Section 25.

Same-Day Delivery (Authority)

Authority (Prepay) clients may request same-day delivery where all materials are submitted in full before 11:00 AM EST with no revisions or scope changes requested. Orders submitted after 11:00 AM EST will be delivered before 8:00 AM EST the following morning. Where same-day delivery is unmet due to circumstances within Property Reels' control, the client's remedy is the 24-Hour Delivery Guarantee set out above.

Rush Delivery Add-On

Revisions & Content Approval

All packages include 2 revision rounds per video.

Revisions must fall within the original scope and be requested within the applicable revision window. We reserve the right to limit excessive or unreasonable revision requests. Revision turnaround times are typically 24–72 hours but are not guaranteed.

Scope Control

Any changes that materially alter the original brief — including new media, structural edits, additional scenes, or change of property — may be treated as a new project and subject to additional fees and reset timelines.

Partner Program

Property Reels operates a Partner Program for real estate photographers and related service providers. Participation is available on two paths, and the following terms apply in addition to all other Terms.

A. Referral Partners

• Commission. Referral Partners earn 20% of the net order value of qualifying purchases made by clients they refer. Net order value excludes taxes, shipping, and any third-party processing fees.
• Attribution. Commission is payable only where the referred client is identified by the Partner's unique referral link or code at the time of purchase, or where Property Reels has otherwise confirmed the referral in writing before the purchase. Property Reels' records are determinative in the event of any attribution dispute.
• Payout. Commissions are calculated weekly and paid by e-transfer. Payouts are made only on orders that have been paid in full and have passed the refund window in Section 5.
• Reversals. Commission on any order that is refunded, charged back, or cancelled is reversed and deducted from the Partner's next payout or invoiced to the Partner if no further payout is pending.
• Client credit. Where advertised, a referred client may receive a promotional credit on a Prepay package. Such credits are subject to the promotional terms in Section 4 and cannot be combined with other offers.
• No authority. Referral Partners are independent and have no authority to make representations, guarantees, or pricing commitments on behalf of Property Reels.

B. Wholesale Partners

• Wholesale rate. Approved Wholesale Partners are invoiced at a flat rate of $99 CAD per listing (4 edited videos per listing), exclusive of applicable taxes. Wholesale rates are subject to change with reasonable notice and do not apply retroactively to orders already accepted.
• Resale rights. Notwithstanding Section 2 and Section 14, Wholesale Partners are granted a limited, non-exclusive, revocable licence to resell completed deliverables to their own end clients under the Partner's own brand and at the Partner's own pricing.
• Client relationship. The Wholesale Partner is solely responsible for their own client relationship, including quoting, invoicing, collecting payment, and providing first-line support to their end client. Property Reels has no contractual relationship with the Partner's end client.
• Billing. Wholesale Partners are invoiced weekly for listings delivered in that period, payable within seven (7) days of invoice unless otherwise agreed in writing. Property Reels may suspend production for overdue accounts.
• Guarantees. The 24-Hour Delivery Guarantee and the Satisfaction Guarantee in Sections 5 and 7 apply as between Property Reels and the Wholesale Partner only. Any guarantee the Partner offers to their own end client is the Partner's sole responsibility.
• Submitted materials. The warranties and indemnities in Section 3 apply to the Wholesale Partner in respect of all materials submitted, including materials originating from the Partner's end client.

C. General Partner Terms

• Participation in either path may be declined, suspended, or terminated by Property Reels at any time, with commissions earned prior to termination remaining payable subject to the reversal terms above.
• Partners may not bid on Property Reels brand terms in paid advertising, misrepresent the Services, or make guarantees beyond those published by Property Reels.
• Partners may switch between paths, or operate on both paths, with written confirmation from Property Reels.
• Nothing in the Partner Program creates a partnership, joint venture, employment, franchise, or agency relationship. Section 19 applies.

MLS Compliance

If a compliant version is required, the client must communicate specific MLS requirements to Property Reels prior to production. Any additional versions required for MLS compliance may be subject to additional fees.

Third-Party Platforms & Music

Property Reels does not control and is not responsible for the operation, performance, or behavior of third-party platforms, including Instagram, TikTok, YouTube, or MLS systems. This includes without limitation:

• content distribution, reach, or visibility;
• algorithmic ranking or performance;
• content removals, restrictions, or account actions;
• audio muting, copyright claims, or platform-specific limitations.

Platform performance is inherently unpredictable and may vary significantly. We use licensed or royalty-free audio; however, we do not guarantee that third-party platforms will not impose additional restrictions or claims on audio content.

File Storage & Delivery

Deliverables are provided electronically via download link, cloud storage, or other agreed digital delivery method. We are not obligated to store project files or deliverables beyond thirty (30) days after delivery unless otherwise agreed in writing. Clients are responsible for downloading and saving all deliverables promptly upon receipt.

Intellectual Property

All underlying materials, templates, systems, and production processes remain the exclusive property of Property Reels. Upon full payment, clients are granted a perpetual, non-exclusive, non-transferable license to use final deliverables for their own marketing purposes.

Unless otherwise agreed in writing:

• raw files and project source files are not included;
• deliverables may not be resold or licensed to third parties, except by approved Wholesale Partners under Section 10.

No Guarantee of Results

Property Reels provides creative and marketing production services only. We do not guarantee:

• property sales or lease outcomes;
• lead generation or buyer inquiries;
• views, engagement, reach, or follower growth;
• return on investment or business outcomes of any kind.

You acknowledge that real estate sales and marketing results depend on numerous factors beyond our control, including market conditions, pricing, property quality, timing, and third-party platform algorithms. By using the Services, you agree that Property Reels is not responsible for the success or failure of any listing or marketing campaign. For clarity, the Satisfaction Guarantee in Section 5 relates to the quality of the deliverables and not to any commercial outcome.

Inactive or Abandoned Projects

If a project becomes inactive for more than thirty (30) days due to client delay, lack of response, or failure to provide required materials, Property Reels reserves the right to close the project without refund. Any request to resume work may be subject to additional fees and updated timelines.

Non-Exclusivity

Nothing in these Terms grants exclusivity to the client or to any Partner. Property Reels may provide similar or identical services to other clients and partners, including those marketing competing properties, listings, or operating in the same geographic area.

Official Communications

Independent Contractor

Property Reels operates as an independent contractor. Nothing in these Terms shall be construed to create any partnership, joint venture, employment, franchise, or agency relationship between the parties, including between Property Reels and any Referral or Wholesale Partner.

Confidentiality

Both parties agree to keep confidential any non-public business, marketing, or operational information shared during the course of the engagement — including wholesale pricing and commission terms — and not to disclose such information to any third party without prior written consent.

Disclaimer of Warranties

Except for the guarantees expressly set out in Sections 5 and 7, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the fullest extent permitted by applicable law:

• Property Reels' total liability is limited to the amount paid for the specific Service giving rise to the claim; and
• Property Reels shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, lost listings, or missed business opportunities.

This limitation applies regardless of the legal theory — whether in contract, tort (including negligence), or otherwise — and even if Property Reels has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Property Reels and its affiliates, employees, and contractors from any claims, damages, losses, costs, or liabilities (including reasonable legal fees) arising from:

• materials you submit;
• inaccurate or misleading listing information;
• your violation of any third-party rights;
• misuse of the Services;
• representations made by you to your own clients as a Partner; or
• breach of these Terms.

Dispute Resolution & Governing Law

Good Faith Negotiation

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute through good faith written negotiation for a minimum period of 30 days from the date the dispute is first raised in writing.

Mediation

If a dispute is not resolved through negotiation, both parties agree to attempt non-binding mediation before pursuing litigation. The costs of mediation shall be shared equally between the parties.

Small Claims

Nothing in these Terms prevents either party from pursuing a claim in small claims court where the claim falls within the applicable monetary jurisdiction of that court.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes not resolved through the above process shall be resolved exclusively in the courts of Ontario, and you irrevocably submit to their jurisdiction.

Force Majeure

Property Reels is not liable for any delay or failure to perform obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, pandemic, or government action.

Termination & Business Closure

We may suspend or terminate Services immediately and without notice for:

• material breach of these Terms;
• non-payment or chargeback; or
• misuse of the Services.

Upon termination for any of the reasons above, any unused credits are forfeited with no refund.

Business Closure

Entire Agreement & Amendments

These Terms constitute the entire agreement between the parties and supersede all prior agreements, representations, or understandings relating to the Services.

We may update these Terms from time to time. Updated Terms will be posted at propertyreels.ca/terms with a revised effective date. Continued use of the Services after any update constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
